The place of performance and the place of jurisdiction is Zug, Switzerland. The Company, however, may elect to assert any of their claims in the place of domicile of any relevant party or in any other competent jurisdiction. The foregoing provisions of this paragraph do not apply to rights and obligations of any person under any sale and purchase agreement, which will be governed exclusively by the provisions set forth therein.
